The following agreement is between FFF WEB MEDIA INC. (referred to as “FFF”) and the applicant to the referral program (referred to as “the referrer”).

1) DEFINITION   
The referrer will refer potential customers to the Flashloaded.com website using approved tracking links on his/her website in order to generate revenue. The percentage that the referrer will receive for each sale that is generated from his/her referral link is set forth by FFF and is updated on a regular basis on the Flashloaded.com website.

An updated list of products for which commissions can be generated when sold can be found at the Flashloaded.com website. Commissions are calculated on the final amount of the sale, after deducting merchant processing fees.

FFF reserves the right to change the commission structure for any product or to remove any product(s) without prior notice.

A valid sale will be counted if the potential customer buys a product from FFF after following the referral link or if the potential customer has ‘cookies’ enabled in their browser, which in this case, will track sales generated from the Flashloaded.com website even if they have not followed a direct link from the referrer’s website at that time, but instead they returned to the Flashloaded website up to 30 days after following the link on the referrer’s website unless the customer has entered the website by way of another referrer’s link.

The referrer may choose to display information or images of the products sold by FFF, however, the referrer may not claim, or represent on his or her website(s) in any shape of form that the products being shown are his or her intellectual property or that his/her web site is part of FFF in any shape of form.

2) QUALIFYING REFERRERS
FFF will, at its own discretion, evaluate the referrer’s application and determine whether it will be in its best interest that the referrer becomes an active referrer in FFF’s referral program.

3) ACCEPTABLE LINKING
FFF will provide the referrer with approved links that can be used for the purpose of referring customers to the Flashloaded.com website. Only approved links which contain a special tracking URL may be used. Links to the Flashloaded.com  website may only appear on the referrer’s website for which the referrer’s application has been approved.

4) PAYMENT
FFF will pay the referrer either by way of check or by making a payment to the referrer’s Paypal account as requested by the referrer. Payments will be made each quarter, 30 days after the last day of any given quarter.

If a chargeback or refund is required by a customer, FFF will discount the corresponding commission payment from either the current payment or the following payment. A minimum amount of commission totaling $50 for that quarter is required for any payment. If the amount is less than $50 (US Dollars), the amount will be carried over to the next payment period.

It is the responsibility of the referrer to ensure that his/her payment details are accurate at all times. Any fees incurred by FFF due to incorrect information supplied by the referrer will result in deductions from the referrer’s account on the amount incurred as well as an additional $25 administration fee.

5) INCOME TAX
It is the referrer’s sole responsibility to declare any income to the respective authorities in his/her country of residence.

5) DISCLAIMER
Being accepted as a referrer in the referral program does not create a partnership between FFF and the referrer. The referrer will at no point be considered a past, present or future affiliate or partner or employee of FFF, or part of FFF’s corporation in any shape or form.

6) GOVERNING LAW
This Agreement supersedes all other communications, oral or written, between the parties relating to the agreement’s subject matter. This agreement will be governed by the laws of Ontario, Canada. Should a controversy arise out of this agreement, the parties shall settle any controversy in Toronto, Canada.

7) FORCE MAJEURE
Neither FFF nor the referrer will be liable for failing to comply with this agreement in case of ‘force majeure’ (such as terrorism, acts of God, etc) where circumstances are beyond reasonable control by either party.

8) NO ASSIGNMENT
The referrer may not delegate his/her participation on this program to other parties or other website(s) without written authorization from FFF.

9) AGREEMENT’S DURATION AND TERMINATION
This agreement is valid for one year and will be renewed automatically at the end of each year. FFF’s reserves the right to terminate the referrer’s participation in the referral program at any point in time without prior notice. The referrer may also choose to stop his/her participation in this program at any time. In the event of early termination, payments due will be paid according to the payment schedule outlined in this agreement, unless the referrer’s termination was due to a breach of this agreement in which case the payment may be forfeited and the referrer may be subject to legal proceedings. FFF reserves the right to modify this agreement without prior notice.
